Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MapOutcomes software-as-a-service platform, including all features, functionality, and content made available through the Platform (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. The Parties

1.1 Service Provider. The Service is provided by MapOutcomes Inc., a corporation incorporated under the Canada Business Corporations Act, with its registered office in the Province of Ontario ("MapOutcomes," "we," "us," or "our"). Canadian Corporations Number: 1791669-8.

1.2 User. The person or entity accessing the Service ("you," "your," "User") is accessing the Service on behalf of an educational institution, program, or department.

1.3 Scope of Service. These Terms govern the MapOutcomes accreditation management platform, initially launched for engineering programs (CEAB/ABET accreditation). MapOutcomes may expand the Platform to serve additional accreditation domains (including but not limited to nursing, pharmacy, and AI governance programs). Additional platforms or services may be subject to supplementary terms. These Terms apply to all MapOutcomes services unless explicitly superseded by venture-specific terms.

2. Account Registration

2.1 Eligibility. You must be at least 18 years old and have authority to act on behalf of your institution to create an account.

2.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

2.3 One Account Per User. Each User may maintain only one account. You may not transfer your account to another person.

2.4 Roles and Permissions. MapOutcomes may assign you specific roles (e.g., Instructor, Coordinator, Chair, Dean) that determine what data you can view and modify. Your institution's administrator controls your role assignment.

3. Use of the Service

3.1 Permitted Use. You may use the Service solely for the purpose of managing your institution's accreditation data and learning outcome mapping in accordance with these Terms.

3.2 Prohibited Conduct. You agree not to:

  • (a) Use the Service for any unlawful purpose;
  • (b) Attempt to gain unauthorized access to other users' data or the Platform's infrastructure;
  • (c) Use automated tools to scrape, copy, or harvest data from the Platform;
  • (d) Upload content that infringes any third-party intellectual property rights;
  • (e) Upload direct student identifiers (names, student IDs, Social Insurance Numbers) or other restricted personal information;
  • (f) Reverse engineer, decompile, or disassemble any portion of the Platform;
  • (g) Use the Service to build a competitive product or service;
  • (h) Attempt to interfere with or disrupt the Service or its associated servers.

3.3 Data Upload Obligations. You represent and warrant that:

  • (a) You have the authority to upload any data to the Platform;
  • (b) The data does not contain restricted personal information beyond aggregate educational data;
  • (c) The data does not infringe any third-party rights.

4. Subscription and Payment

4.1 Pricing. MapOutcomes offers subscription tiers as described on our website (mapoutcomes.com/pricing). Prices are quoted in Canadian dollars (CAD) and are subject to change with 30 days' written notice.

4.2 Billing. Subscriptions are billed annually in advance. Payment is due within 30 days of invoice.

4.3 Taxes. All prices are exclusive of applicable taxes. You are responsible for any applicable GST/HST, PST, or other taxes.

4.4 Refunds. MapOutcomes does not provide refunds for partial-year cancellations except as required by law. Design Partner Program participants are subject to the refund terms in their Design Partner Service Agreement.

4.5 Late Payment. Overdue amounts may incur interest at 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower.

5. Intellectual Property

5.1 MapOutcomes IP. All content, software, technology, trademarks, logos, and materials provided through the Service are the property of MapOutcomes or its licensors and are protected by Canadian and international intellectual property laws.

5.2 Your Data. You retain all ownership rights in the data you upload to the Platform. MapOutcomes claims no ownership over your data.

5.3 Feedback. Any suggestions, feedback, or recommendations you provide regarding the Service may be used by MapOutcomes without obligation or compensation to you.

5.4 Trademark Usage. You may not use the MapOutcomes name, logo, or trademarks without prior written permission. The MapOutcomes name may be referenced in institutional documentation solely to identify the platform you use.

6. Data Protection and Privacy

6.1 Privacy Policy. Our full Privacy Policy, available at mapoutcomes.com/privacy-policy, explains how we collect, use, store, and protect your information. These Terms incorporate the Privacy Policy by reference.

6.2 Canadian Hosting. All data is hosted on servers located in Canada, compliant with PIPEDA and applicable Canadian privacy laws.

6.3 Data Security. We maintain industry-standard security measures including:

  • (a) TLS encryption at our CDN edge for all visitor traffic; origin server TLS encryption in development;
  • (b) Role-based access controls;
  • (c) Secure password hashing (bcrypt);
  • (d) Data hosted on secure, physically-secured infrastructure in Ontario, Canada;
  • (e) Firewall protection and application-level CSRF protection.

6.4 Data Portability. You may export your data in CSV format at any time through the Platform.

6.5 Data Retention and Deletion. Upon account termination, your data will be retained for 30 days to allow for export, then permanently deleted. Backups may retain copies for up to 90 days during our standard backup rotation.

6.6 Breach Notification. In the event of a data breach affecting your information, we will notify you within 72 hours of discovery, as required by PIPEDA.

7. Accuracy and Disclaimer

7.1 No Accreditation Guarantee. The Service provides data management and analysis tools. MapOutcomes does not guarantee any specific accreditation outcome. Your institution's accreditation decisions are made by the relevant accrediting body, not by MapOutcomes.

7.2 "As Is" Service. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAPOUTCOMES DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.3 Product Development Status. The Service is a product in active development. MapOutcomes does not guarantee that the Service will be error-free, uninterrupted, or free of bugs. We will use commercially reasonable efforts to maintain availability and address critical issues.

7.4 AI-Generated Content Disclaimer. The Service may include features powered by artificial intelligence (AI) and machine learning, including automated evidence analysis and mapping suggestions. AI-generated output is provided as a decision support tool only and does not constitute professional advice. You are solely responsible for reviewing, verifying, and validating any AI-generated output before using it for accreditation purposes. MapOutcomes does not guarantee the accuracy, completeness, or reliability of AI-generated content. AI features may produce incorrect or inappropriate output, and you should not rely on AI output without human review. MapOutcomes reserves the right to modify, suspend, or discontinue AI features at any time without notice.

8. Limitation of Liability

8.1 Liability Cap. EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, FRAUD, OR BREACH OF CONFIDENTIALITY, MAPOUTCOMES' TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO MAPOUTCOMES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8.2 Exclusion of Consequential Damages. IN NO EVENT SHALL MAPOUTCOMES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF ACCREDITATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Not Professional Advice. The Service provides data analysis and management tools. MapOutcomes does not provide legal, financial, or accreditation consulting advice. Decisions made based on Service output are your responsibility alone.

9. Indemnification

9.1 By You. You agree to indemnify and hold MapOutcomes harmless from any claims, damages, losses, or expenses (including legal fees) arising out of:

  • (a) Your breach of these Terms;
  • (b) Your data or content uploaded to the Platform;
  • (c) Your misuse of the Service.

9.2 By MapOutcomes. MapOutcomes agrees to indemnify you against any third-party claim that the Service (as provided by MapOutcomes) infringes a third-party intellectual property right, subject to applicable limitations.

10. Termination

10.1 By You. You may terminate your account at any time by providing 30 days' written notice. All outstanding fees remain due.

10.2 By MapOutcomes. MapOutcomes may suspend or terminate your account:

  • (a) Immediately, if you breach these Terms and fail to cure within 10 days of notice;
  • (b) With 30 days' written notice, for any reason.

10.3 Effect of Termination. Upon termination:

  • (a) Your access to the Service will cease;
  • (b) You will have 30 days to export your data;
  • (c) All provisions that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.

11. Multi-Site Governance

MapOutcomes operates multiple platform sites for different accreditation domains (engineering, nursing, pharmacy, AI governance). Data may be stored in a database shared across MapOutcomes sites, or in a database dedicated to a single site, depending on the site — in either case, data is isolated per institution at the application layer. These Terms apply to all MapOutcomes sites unless explicitly superseded by venture-specific terms. Data from one institution is not shared with other institutions unless you authorize such sharing. You may maintain separate accounts on different MapOutcomes sites.

12. Changes to These Terms

MapOutcomes may modify these Terms at any time. Material changes will be communicated by email and/or notice on the Platform at least 30 days before the effective date. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

13. Dispute Resolution

13.1 Governing Law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

13.2 Jurisdiction. Any dispute arising out of these Terms is subject to the exclusive jurisdiction of the courts of the Province of Ontario.

13.3 Good-Faith Negotiation. Before pursuing formal legal remedies, the parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days.

14. General

14.1 Force Majeure. Neither party is liable for failure or delay due to circumstances beyond reasonable control (natural disasters, government actions, internet failures, etc.).

14.2 Assignment. You may not assign these Terms without MapOutcomes' prior written consent. MapOutcomes may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.3 Severability. If any provision is held invalid, the remaining provisions remain in full force.

14.4 Entire Agreement. These Terms constitute the entire agreement between the parties regarding the Service and supersede all prior agreements.

14.5 No Waiver. Failure to enforce any provision does not constitute a waiver of that provision.

These Terms of Service govern your use of the MapOutcomes platform. By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
